Seated Terms of Service

Welcome to Seated.

These Terms of Service ("Terms") govern your access to and use of the Seated mobile application, website, and related services (collectively, the "Service"), operated by Mooney Co ("Seated," "we," "us," or "our").

By accessing or using Seated, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use Seated. If you are between 13 and the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian.

Because Seated does not require an account, we do not collect date of birth and cannot verify age at sign-up. By using the Service, you confirm you meet this requirement. If we become aware that someone under 13 is using Seated, we will terminate that access.

You must comply with all applicable laws when using Seated. You may not use the Service if you have been previously suspended or removed from it.

2. Description of Service

Seated provides community-sourced restaurant wait-time information, user-submitted reports, restaurant listings, forecasts, and related features.

Wait times shown in the Service are estimates. They may come from:

Reports submitted by other users
Information submitted by restaurants
Automated forecasts calculated from historical report patterns

Forecasted wait times are predictions based on past data and are clearly labeled as such. They are not measurements of current conditions and may be inaccurate.

Seated is an informational tool. It is not a reservation system, a waitlist service, or a booking platform, and joining a restaurant's actual waitlist is not something Seated does on your behalf.

3. Accounts Are Optional

You do not need an account to use Seated. The app works fully without one — you can browse the map, view wait times, submit reports, and save favorites anonymously.

When you first open Seated, the app creates an anonymous identity on your device. This identity has no email, no password, and no personal information attached to it. It exists so that your reports, points, and favorites stay associated with you, and so that the Service can enforce these Terms — including rate limits and suspensions.

Optional accounts. You may choose to add an email address and password. Doing so lets you keep your history if you lose or replace your device, and sign in across multiple devices. It does not unlock additional features.

If you create an account, you are responsible for:

Providing an accurate email address
Maintaining the security of your credentials
All activity that occurs under your account

Notify us promptly at legal@seated.site if you believe your account has been compromised.

Losing anonymous data. If you use Seated anonymously and delete the app, lose your device, or reset it, your history, points, and favorites may be permanently lost and cannot be recovered. Adding an email address is the only way to protect against this. We are not able to restore anonymous data.

Deleting your data. You may delete your account and associated personal data at any time from within the app. This removes your profile, your email if you have one, and your login. Wait reports you previously submitted may be retained in anonymized, aggregated form as part of the Service's historical data, since other users rely on them for accuracy.

4. Location Data and Visit Detection

Seated uses your device's location to show nearby restaurants, sort results by distance, and — if you enable it — detect when you have visited a restaurant.

Foreground location. With your permission, Seated uses your location while the app is open to center the map and calculate distances.

Background location and visit detection. Seated offers an optional feature that notices when you have spent time at a restaurant and prompts you to report the wait. This feature:

Is off by default and requires your explicit opt-in
Requires "Always" location permission on iOS
Processes visit detection on your device
Does not upload, store, or transmit your location history or movement trail to our servers
Can be turned off at any time in the app's settings, or revoked entirely through your device's system settings

Only wait reports you actively choose to submit are sent to our servers. Continued use of background location while this feature is enabled may affect battery life.

5. User Content

Users may submit wait-time reports, photos, reviews, comments, and other content ("User Content").

You retain ownership of your User Content. By submitting it, you grant Seated a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, use, reproduce, modify, adapt, publish, display, and distribute that content in connection with operating, improving, and promoting the Service.

This license continues for content that has been aggregated, anonymized, or incorporated into historical wait-time data, even after you delete your account.

You represent that you own or have the necessary rights to any content you submit, and that it does not infringe anyone else's rights.

We may remove User Content at our discretion, including content that violates these Terms.

6. Prohibited Conduct

You agree not to:

Submit false, misleading, or deliberately inaccurate wait reports
Submit reports for restaurants you have not actually visited or observed
Manipulate wait-time data to benefit or harm any business
Harass, abuse, threaten, or impersonate other users, restaurants, or organizations
Upload unlawful, defamatory, obscene, or infringing content
Attempt unauthorized access to our systems, accounts, or data
Scrape, crawl, or use automated systems to extract data from the Service
Interfere with, disrupt, or place undue load on the Service
Reverse engineer, decompile, or attempt to derive the source code of the app
Use the Service for any commercial purpose without our written permission

Deliberately submitting false wait times undermines the Service for everyone and may result in immediate suspension.

Rate limits. To protect data quality, Seated limits how frequently you can submit reports. If you reach a limit, you will be asked to wait before submitting again. Attempting to circumvent these limits — including by reinstalling the app, creating multiple identities, or automating submissions — is a violation of these Terms.

Suspension. We may suspend access from any account or device identity that violates these Terms. Suspended users may continue to view the Service but cannot submit reports or other content.

7. Accuracy of Information

Wait times, restaurant details, hours, and crowd information may be based on user reports, restaurant submissions, third-party sources, or automated calculations.

Seated does not guarantee the accuracy, completeness, timeliness, or reliability of any information in the Service. Information may be outdated, incorrect, or missing.

You should independently verify information — including by contacting the restaurant directly — before making decisions or travelling anywhere based on it.

8. Restaurant Information and Listings

Restaurant listings, hours, contact information, photos, and other details may change without notice and may be incomplete or inaccurate.

Seated is not affiliated with, endorsed by, or sponsored by the restaurants listed in the Service unless expressly stated. Inclusion of a restaurant does not imply any relationship between that business and Seated.

Restaurant owners or authorized representatives may claim their listing to submit official information. Claimed status does not make Seated responsible for the accuracy of what a restaurant submits.

If you are a restaurant owner and wish to correct or remove your listing, contact legal@seated.site.

9. Points, Levels, and Badges

Seated may award points, levels, badges, or similar recognition for participation.

These have no monetary value, cannot be purchased, sold, transferred, or redeemed for cash or anything else of value, and confer no property rights.

We may modify, recalculate, reset, or discontinue these features at any time without notice or compensation.

10. Intellectual Property

The Service — including its software, branding, logos, designs, text, and content created by Seated — is owned by Mooney Co and protected by applicable intellectual property laws.

These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.

If you believe content in the Service infringes your copyright, contact legal@seated.site with a description of the work, its location in the Service, and your contact information.

11. Third-Party Services

The Service relies on third-party providers for functionality including mapping, hosting, authentication, and notifications. Your use of the Service may be subject to those providers' terms.

The Service may contain links or references to third-party websites and services. We are not responsible for their content, policies, or practices.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or for any other lawful reason.

You may stop using the Service and delete your account at any time.

Sections that by their nature should survive termination — including User Content licenses, disclaimers, limitation of liability, and governing law — will survive.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the maximum extent permitted by law, Seated disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any information in it will be accurate.

14. Limitation of Liability

To the maximum extent permitted by law, Seated and Mooney Co shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or time, arising from or related to your use of the Service.

This includes, without limitation, any losses arising from reliance on wait-time information, forecasts, restaurant details, or the availability or unavailability of the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Seated and Mooney Co from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

16. Apple App Store Terms

The following applies to the extent you obtained the Seated app through the Apple App Store:

These Terms are between you and Mooney Co only, not with Apple. Apple is not responsible for the app or its content.
Apple has no obligation to furnish any maintenance or support for the app.
In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the app infringes intellectual property rights.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above.

For material changes, we will make reasonable efforts to notify you through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Our failure to enforce any provision is not a waiver of it.

These Terms constitute the entire agreement between you and Mooney Co regarding the Service.

You may not assign these Terms without our consent. We may assign them freely.
